The paralegal is responsible for the preliminary analysis of records and for the continuous update of commercial and corporate law contracts for the company, its subsidiaries, and affiliated companies.
This is a permanent position. However, we will also consider candidates looking for freelance or contract work.
Maintain the minute books of the company, its subsidiaries, and affiliated companies under the control of the legal department
Proceed with the filing of the company’s public documents (ex. SEDAR, SEDI) and with the other registrations required by authorities.
Collaborate in the context of litigation files and commercial transactions (drafting resolutions, preliminary review of contracts, leases and other transactions during the normal course of operations, etc.).
Maintain internal and public registers and the lists of contracts, leases, and registrations.
Draw up statements, annual reports, and other reports that must be filed with public agencies.
Provide assistance in preparing the various assemblies of the board and its committees.
Participate in preparing annual meetings of company’s unit holders and in drafting all the documents that must be submitted to the securities administrators.
Participate in the design and implementation of tools and procedures, including by performing research on corporate law, securities law, real estate law, and labour law.
Perform other related tasks.
Qualifications and Requirements
Minimum of five years of experience in corporate law within a firm or litigation department of a public company
Diploma of College Studies (DEC) in paralegal studies or university degree in law
Experience in corporate law and in securities law
Superior verbal and written communication skills in French and in English
Thoroughness and attention to detail
Ability to manage multiple projects simultaneously and to work independently
Ability to manage sensible and confidential information
Soft skills and quality customer service
Knowledge of relevant Internet resources (RDPRM, OnCorp, Business Register, Strategis, etc.)
Excellent knowledge of Microsoft Office Suite (Word, Excel, PowerPoint, and Outlook)
